These Terms of Service ("Terms") are a legally binding agreement between you ("User") and ChanceITstudio LLC, operator of TCMVP ("Company," "we," "us"). By creating an account or using TCMVP at www.tcmvp.com ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
TCMVP is a SaaS platform for real estate transaction coordinators and professionals. Features include deadline tracking, automated and manual email reminders, team management, PDF contract date parsing (Import Loop), and calendar export. The Service is a productivity tool only. It does not constitute legal advice, real estate brokerage, fiduciary counsel, or any licensed professional service.
You must be at least 18 years old and legally capable of entering a binding agreement. You agree to: (a) provide accurate registration information; (b) maintain the security of your credentials; (c) accept responsibility for all activity under your account; and (d) notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms.
TCMVP offers a free tier with limited functionality and a Pro tier at $10.00 USD/month, billed automatically via Stripe. All fees are non-refundable except as required by law, subject to change with 30 days written notice, and exclusive of applicable taxes. Subscriptions renew automatically. Cancel any time; access continues through the end of the billing period. Payment processing is handled exclusively by Stripe, Inc. — we do not store card numbers. Failed payments may result in immediate suspension of Pro access.
You agree not to: use the Service unlawfully; send spam via the reminder feature; upload malware or malicious code; attempt unauthorized access to the Service or other accounts; reverse engineer the Service; use automated bots or scrapers; impersonate any person; resell or sublicense the Service; or interfere with Service performance. Violations may result in immediate termination without notice or refund.
By using the email reminder feature you represent that: (a) you have obtained all necessary consents from recipients before adding their addresses; (b) your use complies with the CAN-SPAM Act, CASL, GDPR where applicable, and all anti-spam laws; and (c) you will not circumvent the one-click unsubscribe mechanism in automated reminder emails. We may disable email features for accounts generating abuse. You are solely liable for your use of this feature.
The Import Loop feature is calibrated for SIBR dotloop forms. Accuracy varies for other contract types. You must independently verify all parsed dates against your original executed documents before relying on them. ChanceITstudio LLC is not liable for missed deadlines, failed closings, lost earnest money, or any other loss from reliance on parsed data.
You retain ownership of data you input into the Service. You grant us a limited license to store, process, and transmit your data solely to provide the Service. PDF documents are processed in memory only and are not retained after parsing completes. See our Privacy Policy for full details.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND. CHANCEITSTUDIO LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED SERVICE, ACCURACY OF PARSED DATES, AND TIMELY EMAIL DELIVERY. YOUR USE IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANCEITSTUDIO LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING MISSED TRANSACTION DEADLINES, FAILED CLOSINGS, LOST EARNEST MONEY, LOSS OF PROFITS, OR LOSS OF DATA.
CHANCEITSTUDIO LLC'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.00 USD.
You agree to defend, indemnify, and hold harmless ChanceITstudio LLC and its members, managers, employees, and agents from any claims, damages, and expenses (including attorneys' fees) arising from: your violation of these Terms; your use of the Service; your violation of applicable law; your use of the email feature in violation of anti-spam laws; or any data you submit to the Service.
The Service and all components are the exclusive property of ChanceITstudio LLC, protected by applicable intellectual property law. You receive a limited, non-exclusive, non-transferable, revocable license for internal business use only. You may not build competing products using the Service.
The Service integrates Cloudflare (hosting/security), Supabase (database/auth), Stripe (payments), and Resend (email). Your use is also subject to their terms. We are not responsible for third-party outages, conduct, or data handling.
Either party may terminate at any time. We may suspend or terminate immediately for violations of these Terms. Upon termination your license ceases immediately. Export any data before termination — we are not obligated to retain data after account closure.
These Terms are governed by the laws of the State of Illinois. Disputes shall be resolved by binding individual arbitration under AAA Consumer Arbitration Rules. You waive your right to participate in any class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected]. Either party may seek injunctive relief in court for IP claims.
We may update these Terms at any time. Material changes will be communicated by updating the Effective Date and, where practicable, by email. Continued use after the effective date constitutes acceptance.
