End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("User," "Licensee") and ChanceITstudio LLC ("Licensor"). This EULA governs your use of the TCMVP software application, including all updates and associated documentation ("Software"). By accessing or using the Software, you accept this EULA. If you do not accept it, do not use the Software. This EULA is incorporated into and governed by the Terms of Service.

1. License Grant

Access and use the Software via a web browser for your personal or internal business purposes
Create and manage transaction deadline records for real estate transactions you are professionally involved with
Use the email reminder feature to send deadline notifications to team members and transaction parties
Export calendar events (.ics format) from your transaction data
Use the PDF parsing feature on contract documents you have the right to process

✗ What You May Not Do

Copy, modify, distribute, sell, or sublicense the Software or any portion of it
Reverse engineer, decompile, or extract source code from the Software
Create derivative works based on the Software
Use the Software to build a competing product or service
Remove, alter, or obscure any proprietary notices or branding in the Software
Transfer, assign, or sublicense your license rights to any third party
Access the Software through unauthorized means, bots, or automated tools
Use the Software to process transactions you are not authorized to coordinate

2. License Scope

The license granted is: non-exclusive (other users hold the same license); non-transferable (may not be assigned to another party); revocable (may be terminated for violations); and limited to internal business use (not for resale or service bureau use).

3. Subscription Tiers

Free Tier: Limited functionality. No payment required. May be modified or discontinued at any time.
Pro Tier ($10.00 USD/month): Full functionality including automated email reminders, PDF parsing, team management, and calendar export. Pro features are disabled immediately upon subscription lapse or cancellation.

4. Intellectual Property

The Software, including all source code, design elements, algorithms, user interfaces, graphics, and logos, is and shall remain the exclusive property of ChanceITstudio LLC. This EULA does not transfer any ownership interest to you. All rights not expressly granted are reserved. The TCMVP name and marks may not be used without prior written consent.

5. Your Data

You retain ownership of data and content you input into the Software. You grant ChanceITstudio LLC a limited, non-exclusive license to use, store, and process such data solely as necessary to provide the Software. This license terminates when you delete your account or the relevant data.

6. Third-Party Components

The Software integrates Cloudflare, Supabase, Stripe, and Resend. Your use of these services is subject to their respective terms. We are not responsible for third-party components or services.

7. Updates

We may update, modify, or discontinue the Software or any feature at any time. Updates may apply automatically. We are not obligated to provide any particular feature, update, or level of support. Pricing changes require 30 days' notice.

8. No Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CHANCEITSTUDIO LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PDF PARSING FEATURE IS A CONVENIENCE TOOL ONLY AND ACCURACY IS NOT GUARANTEED.

9. Limitation of Liability

CHANCEITSTUDIO LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING MISSED TRANSACTION DEADLINES, FAILED CLOSINGS, LOST EARNEST MONEY, OR LOSS OF DATA. TOTAL LIABILITY SHALL NOT EXCEED $100.00 USD OR FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless ChanceITstudio LLC from claims, losses, and expenses arising from your breach of this EULA, misuse of the Software, violation of applicable law, or processing of data you are not authorized to process.

11. Term and Termination

This EULA is effective from your first use and continues until terminated. ChanceITstudio LLC may terminate immediately upon breach. You may terminate by ceasing all use and deleting your account. Sections 4, 8, 9, and 10 survive termination.

12. Governing Law

This EULA is governed by the laws of the State of Illinois. Disputes are subject to the arbitration provisions in the Terms of Service.

13. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and ChanceITstudio LLC regarding the Software. If any provision is unenforceable, remaining provisions remain in full effect.
